Norwood Road LLC (dba “HELPSY” and referred to as ”HELPSY” “us” “we” or “our”) provides shopHELPSY.com website (the “Site”) subject to your compliance with all the terms, conditions, and notices contained or referenced herein (collectively, the “Conditions”). In addition, users shall be subject to any posted guidelines, policies, or rules that may contain terms and conditions in addition to those in these Conditions. Any such guidelines, policies, or rules are hereby incorporated by reference into these Conditions.
We reserve the right to change these Conditions from time to time without notice to you, and it is your responsibility to review this Site and these Conditions periodically to be aware of modifications. Your continued use of this Site after any modifications will constitute your acknowledgement and agreement to abide and be bound by the modified Conditions.
As used in these Conditions, references to our “Affiliates” include our owners, subsidiaries, employees, affiliated companies, officers, directors, suppliers, partners, sponsors, and advertisers, and includes (without limitation) all parties involved in creating, producing, and/or delivering this Site and/or its contents.

The names HELPSY and shopHELPSY.com, the HELPSY logo may not be used in connection with any product or service that is not HELPSY’s. Nor may they be used in any manner that is likely to cause confusion, or in any way that may disparage or discredit us. Other trademarks, service marks or logos that appear on the Website, in particular (but not exclusively) the designers, are the property of their respective owners and are likely to be registered trademarks and subject to restrictions as to their use. They must not be used without the express permission of the trademark owner.
Use of Site
You may access and use the Site solely for your personal use in accordance with these Conditions. You agree not to access or use the Site in any manner that is prohibited by these Conditions or is otherwise unlawful. We reserve the right in our sole discretion, to terminate or suspend your access to, and/or use of, the Site, or any portion thereof, at any time, with or without notice and for any reason (or no reason at all), and you agree that if your authorization to access the Site is terminated, you will not thereafter access, or attempt to access, the Site.
Purpose
We sell products to customers (“Customers”) and, in connection with those sales, make a contribution to Nonprofits in the amount of 3-5% of the net proceeds of the purchase, excluding shipping charges and taxes (each such contribution a “Contribution”). We shall not request or receive any item of value from Nonprofits in connection with our transmittal of any Contribution. We retain the right to change the Nonprofits we support at any time.
INCREASES TO AMOUNT OF DONATION. Customer understands that if Customer chooses to increase the Contribution above and beyond the automatic donation, we will deduct a small transaction fee of 5.0% of the incremental Contribution to cover processing costs.
Intellectual Property
For purposes of these Conditions, “content” is defined as any information, text, photos, video, graphics, music, sounds, and other material and services that can be viewed by users on our Site. All content presented to you on this site, including the selection and arrangement of the content, is owned by, or licensed to HELPSY, our affiliates, or our suppliers and protected by copyrights, trademarks, service marks, or other proprietary rights and laws. You are only permitted to use the content as expressly authorized by us or the specific content provider. Except for a single copy made for personal use only, you may not copy, reproduce, modify, republish, upload, post, transmit, or distribute any documents or information from this Site in any form or by any means without prior written permission from us or the specific content provider, and you are solely responsible for obtaining permission before reusing any copyrighted material that is available on this Site.

At HELPSY we are committed to promoting and selling designers and brands that are taking ethical measures (socially conscious and/or eco-logically conscious) in the production and transportation of their products including the following qualities: non-disposable&well-made, eco-conscious, upcycled, recycled, fair-trade, vintage, sold to profit philanthropic causes, local production, handcrafted, and/or cruelty free. We cannot provide a guarantee about the practices of any brand, as we take them at their word.
Inaccuracy Disclaimer
From time to time there may have information on our Website that contains typographical errors, inaccuracies, or omissions that may relate to product descriptions, pricing, and availability. HELPSY reserves the right to correct any errors, inaccuracies or omissions and to change or update information at any time without prior notice, including after you have submitted your order.
We reserve the right to refuse any order you place with us. We may in our sole discretion, limit or cancel quantities purchased per person or per order, whether or not the order has been confirmed, for any or no reason, and without liability to you or anyone else. In the event we make a change to or cancel an order, we will attempt to notify you by contacting the e-mail and / or billing address/ phone number provided at the time the order was made. We reserve the right to limit or prohibit orders. If your payment method has already been charged for an order that is later cancelled, HELPSY will issue you a refund.
